The best resiliency planning, with rare exception, didn’t anticipate the situation we are all in now and although the chapter on how companies managed COVID-19 won’t be written for a long time, boards of directors have already learned lessons about how well prepared their companies and their management teams were to face this crisis.

Evelyn Dilsaver, former President and CEO of Charles Schwab Investment Management who currently serves on several boards, including the Protiviti Advisory Board, and Protiviti managing director Jim DeLoach, who has been recognized seven times by the National Association of Corporate Directors (NACD) as one of the most influential people in the boardroom community, share their views on the early lessons learned and the steps that boards can take now to guide their companies through the crisis.

Evelyn Dilsaver is a recognized leader in building highly motivated teams in the public and nonprofit sector. She is the former President and CEO of Charles Schwab Investment Management, where she led all facets of the business, growing its assets from US$137 billion to more than US$200 billion in four years while generating US$1 billion in revenue.

Evelyn is active on several nonprofit boards,the NACD NorCal Chapter and Women Corporate Directors,including Chair of the Board for The Commonwealth Club and Blue Shield Foundation, She also serves as Audit Chair or Compensation Chair on both public and private boards including, Tempur Sealy, Health Equity, Blue Shield of California and a private REIT.

 Jim DeLoach has more than 35 years of experience and assists companies with responding to government mandates, shareholder demands and a changing business environment in a cost-effective and sustainable manner, including the integration of risk and risk management with strategy setting, business planning and performance management. Jim is one of the recipients of the “Top 25 Consultants” award from Consulting magazine in 2011. He was named to the National Association of Corporate Directors’ (NACD) Directorship 100 list from 2012 to 2018, recognizing him as one of the 100 most influential governance professionals in the boardroom community. In 2019, he was awarded the Bette Stead Leadership Award by Greater Houston Business Ethics Roundtable.

Jim has served on the COSO Advisory Council for 10 years contributing to the development of several frameworks, including the 2013 update to the Internal Control – Integrated Framework and the more recent Enterprise Risk Management Framework update. He has worked with and delivered numerous presentations on governance and risk management matters to hundreds of companies and groups in 30 countries. He writes The Bulletin quarterly and Board Perspectives: Risk Oversight monthly, Protiviti’s publications on governance-related issues as well as many of Protiviti’s Flash Reports. He publishes a monthly blog for NACD|BoardTalk and for Corporate Compliance Insights as well as contributes articles to Forbes CFO Network. He has written several books, including Enterprise-wide Risk Management: Strategies for linking risk and opportunity, which was published by Financial Times in June 2000 and was the first book written on the subject of enterprise risk management.

Kevin Donahue is a Senior Director with Protiviti’s Global Marketing and Communications team. In his role, he manages Protiviti’s Thought Leadership Program, overseeing the development of a wealth of content in the form of research reports, white papers, newsletters, contributed articles, blogs, infographics, podcasts and videos.
